This End-User License Agreement ("Agreement") governs use of the Happy-Ledger Reports software application (the "Application"), an internal tool operated by Valley Tree Care, LLC ("Company"). By installing, accessing, or using the Application, you agree to the terms below.
The Company grants authorized personnel a limited, non-exclusive, non-transferable, revocable license to use the Application solely for the Company's internal business and financial-reporting purposes. The Application is not offered, sold, or distributed to the public.
The Application connects to the Company's own QuickBooks Online company file, with read-only access, to generate internal spend and financial-reporting summaries for the Company's leadership. Data accessed through the Application is used exclusively for the Company's internal reporting and is not sold, rented, or shared with unaffiliated third parties.
You may not reverse engineer, sublicense, resell, or use the Application other than as permitted here, nor use it to access any data you are not authorized to view. Access is limited to current Company personnel and ends when authorization ends.
The Application and all associated materials are the property of the Company. No ownership rights are transferred by this Agreement.
The Application is provided "as is," without warranties of any kind, express or implied, including merchantability or fitness for a particular purpose. The Company does not warrant that the Application will be uninterrupted or error-free.
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, or consequential damages arising from use of the Application.
The Company may suspend or terminate access to the Application at any time. The license terminates automatically upon misuse or upon the end of a user's authorization.
This Agreement is governed by the laws of the State of Arizona, United States, without regard to conflict-of-laws principles.
